Terms of Service

1. Agreement to Terms

By accessing or using VideoConduit (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

In these Terms, “we”, “us”, and “our” refer to VideoConduit OÜ, a company registered in the Republic of Estonia (registry code: 14133549). “You” and “your” refer to the person or entity using the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In such cases, “you” and “your” refer to both you individually and the organization you represent.

You must be at least 18 years old or the age of majority in your jurisdiction, whichever is greater, to use the Service.

2. Description of Service

VideoConduit provides a REST API for downloading, processing, and analyzing video and audio content from online platforms. The Service includes API endpoints, a user dashboard, documentation, and related tools.

We use third-party tools including yt-dlp, ffmpeg, and Whisper AI to process content. The availability of specific features may vary by subscription tier.

We do not host, store long-term, or redistribute the content you process. Files are temporarily stored and automatically deleted after 24 hours.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

You must create an account to use the API. You must provide accurate, current, and complete information during registration and keep this information up to date.

You are responsible for maintaining the confidentiality of your API keys and account credentials, and for all activity that occurs under your account.

If you suspect unauthorized access to your account, notify us immediately at info@videoconduit.com.

One person or entity per account — accounts are not transferable. We may suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You must comply with our Acceptable Use Policy. You must only process content for which you have the legal right to access and download.

You represent and warrant that your use of the Service complies with all applicable laws in your jurisdiction, including but not limited to copyright, data protection, and privacy laws. You are solely responsible for determining whether your use of downloaded content is lawful.

VideoConduit is a neutral tool provider — we do not monitor, review, or approve the content you process.

You must not use the Service to:

  • Process content that contains child sexual abuse material (CSAM) — this is strictly prohibited and will result in immediate account termination and reporting to authorities
  • Engage in systematic mass scraping or harvesting of content for the purpose of building competing datasets or services without authorization from the content owners
  • Attempt to circumvent rate limits, credit restrictions, or other technical limitations
  • Reverse engineer, decompile, or disassemble the Service
  • Engage in any activity that is illegal under applicable law

5. API Keys and Security

API keys are confidential credentials — treat them like passwords. You must not share API keys publicly, including in client-side code, public repositories, or forums.

You are responsible for all API calls made with your keys, regardless of who made them.

We may revoke API keys that we believe are compromised or being misused. We store API keys as irreversible hashes — we cannot recover lost keys, only issue new ones.

6. Billing and Credits

The Service uses a credit-based billing system. Credit costs vary by endpoint and are listed in our documentation and pricing page.

Available tiers:

  • Free: 25 credits per month, no payment required
  • Starter: €29/month
  • Pro: €79/month
  • Growth: €199/month
  • Business: €499/month

Annual billing is available at a discount (equivalent of 2 months free). Credit packs can be purchased separately and do not expire or reset.

Monthly subscription credits reset at the start of each billing cycle and do not roll over. All prices are in euros and exclusive of applicable taxes.

Payments are processed by Stripe. By subscribing, you also agree to Stripe’s terms.

You may cancel your subscription at any time — it remains active until the end of the current billing period. We do not offer refunds for partial months or unused credits, except where required by law or at our sole discretion.

We reserve the right to change pricing with 30 days’ notice.

7. Intellectual Property

VideoConduit and its API, documentation, and dashboard are our intellectual property. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

You retain all rights to content you process through the Service — we claim no ownership. We retain no copies of your processed content beyond the temporary storage period (24 hours).

“VideoConduit” and our logo are our trademarks. You may not use them without written permission, except to identify that you use our Service.

9. Temporary File Storage

Files generated by the Service (downloads, transcriptions, etc.) are temporarily stored on our servers and automatically and permanently deleted after 24 hours.

Download URLs contain unique, unguessable tokens and expire after 24 hours. We do not make backup copies of your processed files.

You are responsible for downloading your files before they expire. We are not liable for any loss resulting from expired or deleted files.

10. Service Level and Availability

We aim for high availability but do not guarantee uninterrupted service. The Service is provided on an “as is” and “as available” basis.

We may perform maintenance that temporarily affects availability — we will provide reasonable notice when possible. Current service status is available at /status/.

We are not liable for downtime, errors, or data loss.

11. Rate Limits and Fair Use

API rate limits are set per your subscription tier. Current limits are documented in our API documentation. Rate limit information is included in API response headers.

Exceeding rate limits results in temporary throttling (HTTP 429), not account suspension. We reserve the right to impose additional limits on accounts that generate disproportionate load.

12. Webhooks

You may configure webhook endpoints to receive notifications about job status. Webhook payloads are signed with HMAC-SHA256 — you should verify signatures to ensure authenticity.

We make reasonable efforts to deliver webhooks but do not guarantee delivery. Failed webhook deliveries are retried up to 5 times with exponential backoff.

13. Privacy and Data Protection

Our collection and use of personal data is governed by our Privacy Policy.

We process personal data in accordance with the EU General Data Protection Regulation (GDPR) and the Estonian Personal Data Protection Act.

By using the Service, you acknowledge that you have read and understood our Privacy Policy.

14. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant that the results obtained from the Service will be accurate or reliable.

You use the Service at your own risk.

15. Limitation of Liability

To the maximum extent permitted by applicable law, VideoConduit shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

Our total liability for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise).

Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for fraud or willful misconduct.

16. Indemnification

You agree to indemnify and hold harmless VideoConduit, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Content you process through the Service

17. Termination

You may close your account at any time through the dashboard or by contacting us. We may suspend or terminate your account if you violate these Terms.

We may terminate accounts that have been inactive for 12 months after providing 30 days’ notice.

Upon termination: your API keys are revoked, your files are deleted, and your access to the dashboard ends.

Provisions that by their nature should survive termination will survive, including Limitation of Liability, Indemnification, and Governing Law.

18. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email to registered users at least 30 days before they take effect.

Minor changes (clarifications, typo fixes) may be made without notice. Continued use of the Service after changes take effect constitutes acceptance.

If you disagree with updated Terms, you must stop using the Service and close your account.

19. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Estonia.

Any disputes arising from these Terms or the Service shall be resolved in the courts of Harju County, Tallinn, Estonia.

Notwithstanding the above, you may also bring claims in your country of residence if required by mandatory consumer protection laws.

20. General Provisions

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision does not constitute a waiver.

These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and VideoConduit regarding the Service.

You may not assign your rights under these Terms. We may assign ours in connection with a merger, acquisition, or sale of assets.

These Terms do not create rights for any third party. We are not liable for delays or failures caused by circumstances beyond our reasonable control.
